These Terms of Use (“Terms”) govern your access to and use of the MOWiiU™ website, platform, mobile applications, streaming services, educational programs, media services, and related content available through MOWiiU™ and any affiliated websites, applications, or services operated by MOWiiU™ (collectively, “MOWiiU™,” “we,” “our,” or “us”).

By accessing or using any MOWiiU™ websites, applications, platforms, content, programs, products, services, or other offerings (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and the MOWiiU™ Privacy Policy.

If you do not agree to these Terms, you must not access or use the Services.

 

ARBITRATION NOTICE

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

By agreeing to these Terms, you and MOWiiU™ knowingly and voluntarily agree that, except for matters expressly excluded from arbitration under these Terms or applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your use of the Services, or the relationship between you and MOWiiU™ shall be resolved through final and binding arbitration on an individual basis.

To the maximum extent permitted by applicable law, you and MOWiiU™ waive any right to have an arbitrated dispute decided by a jury.

This arbitration provision shall be governed by the Federal Arbitration Act (“FAA”) and applicable California law.

Location and In-Person Arbitration

Any arbitration required under these Terms shall be conducted in person in Los Angeles County, California, before a single neutral arbitrator.

Unless otherwise required by applicable law, the arbitration shall be administered by a mutually agreed-upon arbitration provider under that provider’s applicable rules.

Arbitration shall not be conducted remotely, by video conference, telephone, or other electronic means unless both you and MOWiiU™ expressly agree in writing to conduct the particular arbitration remotely.

If the parties do not expressly agree in writing to remote arbitration, the arbitration shall proceed in person in Los Angeles County, California.

Nothing in these Terms requires a consumer to travel to a location that applicable law prohibits MOWiiU™ from requiring the consumer to attend.

Informal Resolution

Before initiating arbitration, the parties shall first attempt in good faith to resolve the dispute informally as described in Section 19 of these Terms.

Important Rights

YOU UNDERSTAND THAT, ABSENT THIS AGREEMENT TO ARBITRATE, YOU MAY HAVE THE RIGHT TO SUE IN COURT AND, IN CERTAIN CIRCUMSTANCES, HAVE A JURY DECIDE YOUR CLAIMS. YOU FURTHER UNDERSTAND THAT ARBITRATION MAY INVOLVE DIFFERENT PROCEDURES, INCLUDING LIMITATIONS ON DISCOVERY AND APPELLATE REVIEW, THAN A COURT PROCEEDING.

California Consumer Rights

Nothing in these Terms is intended to waive, limit, or interfere with any rights or remedies that cannot lawfully be waived under California law.

California residents retain all non-waivable rights and remedies available under applicable California consumer protection laws, including rights under the California Consumer Privacy Act (“CCPA”) and other applicable statutes.

Court Relief

Nothing in this arbitration provision prevents either party from seeking temporary, preliminary, or emergency injunctive or equitable relief from a court of competent jurisdiction when such relief is permitted by applicable law and is necessary to preserve the status quo or prevent immediate and irreparable harm.

Severability

If any portion of this arbitration provision is determined to be unlawful, invalid, or unenforceable, that portion shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain in effect to the maximum extent permitted by law.

BY USING THE MOWiiU™ SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS ARBITRATION PROVISION, INCLUDING THE REQUIREMENT THAT ARBITRATION BE CONDUCTED IN PERSON IN LOS ANGELES COUNTY, CALIFORNIA, UNLESS BOTH PARTIES EXPRESSLY AGREE OTHERWISE IN WRITING.

 

1. ACCEPTANCE OF TERMS

By accessing or using the Services, including browsing the MOWiiU™ website, creating an account, submitting content, streaming media, participating in educational or other programs, purchasing products or subscriptions, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to these Terms and the MOWiiU™ Privacy Policy.

If you are using the Services on behalf of a company, university, nonprofit organization, production entity, educational institution, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

If you do not have such authority, you must not accept these Terms or use the Services on behalf of that entity.

 

2. MISSION OF MOWiiU™

MOWiiU™ is an educational and entertainment platform dedicated to empowering emerging filmmakers, creators, students, and storytellers through education, collaboration, streaming media, and creative opportunities.

MOWiiU™ exists to help connect universities, student filmmakers, independent creators, educational institutions, and audiences through digital media, educational initiatives, original programming, and related creative opportunities.

MOWiiU™ does not guarantee employment, admission, funding, distribution, publication, representation, professional advancement, academic achievement, or any other particular outcome from participation in the Services.

 

3. ELIGIBILITY

You must be at least 18 years old to create an individual MOWiiU™ account unless MOWiiU™ expressly permits otherwise.

Individuals under 18 may access or participate in certain Services when permitted by MOWiiU™ and when such access is provided with the required consent, authorization, supervision, or participation of a parent or legal guardian, educational institution, authorized program administrator, or other person legally authorized to provide such consent.

Certain Services may have additional eligibility requirements.

By using the Services, you represent and warrant that:

  • You meet all applicable eligibility requirements;

  • Any information you submit is truthful, accurate, and current;

  • You have authority to provide any information or content you submit;

  • Your use of the Services does not violate any applicable law or regulation; and

  • You will comply with these Terms and all applicable policies and agreements.

MOWiiU™ reserves the right to suspend or terminate accounts or access to Services when permitted by applicable law.

 

4. MODIFICATIONS TO TERMS

MOWiiU™ may revise these Terms from time to time.

When changes are made, MOWiiU™ may post the revised Terms on the Website and may provide additional notice when required by applicable law.

Unless otherwise stated, changes become effective when posted.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If applicable law requires additional notice or affirmative consent for a material modification, MOWiiU™ will provide such notice or obtain such consent as required.

 

5. EDUCATIONAL & ENTERTAINMENT CONTENT DISCLAIMER

The Services may contain educational materials, tutorials, production guidance, entertainment content, career information, industry commentary, interviews, opinions, or other information.

All such content is provided for general informational and entertainment purposes only.

MOWiiU™ does not guarantee professional, academic, legal, financial, production, employment, career, investment, distribution, or other outcomes from use of the Services.

Information available through the Services should not be considered professional legal, financial, medical, academic, or other professional advice.

Users are solely responsible for decisions made based on information obtained through the Services.

 

6. OWNERSHIP OF SERVICES

Except for User Content and third-party materials, all Services and materials made available through the Services, including text, graphics, videos, software, code, streaming content, logos, branding, educational materials, designs, interfaces, audiovisual works, compilations, and other materials are owned by or licensed to MOWiiU™ and are protected by applicable copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms or a separate written agreement, you may not:

  • Copy;

  • Reproduce;

  • Distribute;

  • Modify;

  • Create derivative works from;

  • Reverse engineer;

  • Publicly display;

  • Publicly perform;

  • Sell;

  • License;

  • Sublicense; or

  • Otherwise exploit

any portion of the Services without prior written authorization from MOWiiU™ or the applicable rights holder.

All rights not expressly granted are reserved.

 

7. INTELLECTUAL PROPERTY & USER CONTENT LICENSES

Your Ownership

Except for rights expressly granted to MOWiiU™ under these Terms or a separate written agreement, you retain ownership of original content that you create and upload to the Services (“User Content”).

User Content may include films, videos, music, artwork, scripts, photographs, profiles, applications, comments, promotional materials, portfolios, or other creative or informational materials.

License to MOWiiU™

By submitting User Content to MOWiiU™, you grant MOWiiU™ a non-exclusive, worldwide, royalty-free license, with the right to sublicense to service providers and other parties as reasonably necessary to operate and promote the Services, to:

  • Host;

  • Store;

  • Stream;

  • Display;

  • Reproduce;

  • Format;

  • Promote;

  • Market;

  • Publish;

  • Distribute through the Services;

  • Make technically necessary adaptations; and

  • Otherwise use

the User Content in connection with operating, providing, promoting, marketing, administering, and improving the Services and MOWiiU™ educational and media programming.

This license does not transfer ownership of your original User Content to MOWiiU™.

MOWiiU™ may use excerpts, thumbnails, still images, titles, descriptions, creator names, and other portions of User Content for promotional, educational, marketing, editorial, and platform-related purposes.

Separate Agreements Control

If you enter into a separate written agreement with MOWiiU™ concerning the submission, licensing, distribution, streaming, acquisition, publication, or exploitation of particular content, that separate written agreement shall control over these Terms to the extent of any conflict concerning that specific content.

Nothing in these Terms is intended to replace or supersede a separately executed content license, distribution agreement, streaming agreement, submission agreement, or other written agreement.

Your Representations

You represent and warrant that:

  • You own or control the rights necessary to submit the User Content;

  • Your User Content does not knowingly infringe or misappropriate the rights of any third party;

  • You have obtained all required permissions, releases, licenses, consents, and clearances;

  • You have authority to grant the rights described in these Terms; and

  • Your submission does not violate applicable law or these Terms.

 

8. PLATFORM FUNCTIONALITY & ACCOUNTS

Account Registration

Certain Services require account registration.

You agree to provide accurate, complete, and current information and to maintain the security of your login credentials.

You are responsible for activities occurring through your account to the extent permitted by applicable law.

You must promptly notify MOWiiU™ if you believe your account credentials have been compromised or used without authorization.

Streaming & Media Services

MOWiiU™ may provide streaming media, educational content, digital events, live broadcasts, podcasts, original programming, or subscription-based services through its platform, including MOWii+™.

Access to certain content may require payment, a subscription, university or educational affiliation, creator approval, or other authorization.

MOWiiU™ may modify, suspend, discontinue, or restrict particular content or Services as permitted by applicable law.

Purchases & Subscriptions

Purchases made through the Services may include:

  • Merchandise;

  • Event tickets;

  • Educational programs;

  • Subscription memberships;

  • Streaming access;

  • Digital products; and

  • Other products or services.

Prices, descriptions, availability, subscription terms, and other purchase conditions may change.

Payments are non-refundable except where otherwise expressly stated by MOWiiU™, provided under an applicable purchase or subscription policy, or required by applicable law.

Nothing in these Terms waives any legally required refund, cancellation, chargeback, or consumer protection right.

Where applicable, additional purchase-specific terms may apply.

User Profiles & Public Content

Users may create profiles, portfolios, filmmaker pages, public posts, or participate in community forums.

Content intentionally shared publicly may be visible to other users and should not be considered confidential.

MOWiiU™ reserves the right to remove, restrict, or disable access to content that violates these Terms or applicable law.

 

9. ACCEPTABLE USE POLICY

You agree not to use the Services to:

  • Violate any applicable law or regulation;

  • Infringe or misappropriate intellectual property or other rights;

  • Harass, threaten, abuse, stalk, or impersonate others;

  • Upload malicious software, viruses, or harmful code;

  • Spam or distribute unauthorized advertising;

  • Access accounts, systems, or data without authorization;

  • Scrape, mine, harvest, or collect user data without authorization;

  • Upload unlawful, defamatory, hateful, obscene, sexually exploitative, or discriminatory content;

  • Exploit or endanger minors;

  • Interfere with platform operations, availability, or security;

  • Circumvent access controls or technological restrictions; or

  • Engage in conduct that materially interferes with another user's ability to use the Services.

MOWiiU™ may investigate suspected violations and may remove or restrict content, suspend accounts, or terminate access when permitted by applicable law.

 

10. USE RESTRICTIONS

You may not:

  • Reverse engineer software used by the Services except to the extent expressly permitted by applicable law;

  • Reproduce platform features without authorization;

  • Use automated bots, scraping systems, crawlers, or data-mining tools to access or collect information from the Services without authorization;

  • Circumvent security measures or access controls;

  • Attempt to gain unauthorized access to systems or accounts;

  • Remove proprietary notices or intellectual property markings;

  • Use the Services for unlawful commercial exploitation; or

  • Use the Services in a manner that violates these Terms or applicable law.

Community Guidelines require users to engage respectfully and professionally.

 

11. TRADEMARKS

MOWiiU™, MOWii+™, associated logos, slogans, graphics, platform names, and branding are trademarks, service marks, trade names, or other intellectual property owned by MOWiiU™ and/or its applicable licensors.

You may not use MOWiiU™ trademarks or branding without prior written authorization, except for nominative or other uses permitted by applicable law.

 

12. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MOWiiU™, its affiliates, officers, directors, employees, contractors, partners, universities, licensors, service providers, and agents from and against claims, damages, liabilities, judgments, losses, legal fees, costs, and expenses arising out of or relating to:

  • Your use of the Services;

  • Your User Content;

  • Your violation of these Terms;

  • Your violation of applicable law; or

  • Your infringement or misappropriation of third-party rights.

This provision does not require indemnification to the extent prohibited by applicable law.

 

13. THIRD-PARTY LINKS & SERVICES

The Services may include links, integrations, or references to third-party platforms, sponsors, universities, streaming providers, advertisers, payment processors, social media services, or other third-party services.

MOWiiU™ does not control and is not responsible for third-party content, policies, security practices, availability, or business practices.

Your use of third-party services may be subject to separate terms and privacy policies.

Use of third-party services is at your own risk.

 

14. COMMUNICATIONS & NOTIFICATIONS

By providing your email address, telephone number, or other contact information, you may receive communications from MOWiiU™ concerning your account and use of the Services, including:

  • Account notices;

  • Transactional communications;

  • Event updates;

  • Educational announcements;

  • Subscription or billing notices;

  • Security notifications; and

  • Service-related communications.

Where required by applicable law, marketing communications will be provided subject to applicable consent requirements.

You may opt out of promotional communications at any time using the applicable unsubscribe or opt-out mechanism.

Opting out of marketing communications does not prevent MOWiiU™ from sending necessary transactional, security, legal, or service-related communications.

Standard message and data rates may apply to text messages where applicable.

 

15. DMCA COPYRIGHT POLICY

MOWiiU™ respects intellectual property rights and responds to valid notices submitted pursuant to the Digital Millennium Copyright Act (“DMCA”) and other applicable copyright laws.

If you believe content hosted on the Services infringes your copyright, you may submit a written DMCA notice containing the information required by applicable law, which may include:

  • Your physical or electronic signature;

  • Identification of the copyrighted work claimed to have been infringed;

  • Identification of the allegedly infringing material and information reasonably sufficient to locate it;

  • Your contact information;

  • A good-faith statement that the use is not authorized by the copyright owner, its agent, or the law; and

  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

MOWiiU™ may remove or disable access to allegedly infringing material and may process valid counter-notifications as required by applicable law.

 

16. USER SUBMISSIONS, FEEDBACK & CREATIVE MATERIALS

MOWiiU™ welcomes feedback and suggestions concerning the Services.

Unless otherwise agreed in writing, suggestions, feedback, recommendations, feature requests, comments, and other non-confidential communications regarding the Services may be used by MOWiiU™ without compensation or obligation to you.

This provision does not transfer ownership of your original films, scripts, music, artwork, or other creative works.

Creative works and other User Content submitted through a designated MOWiiU™ submission process are governed by Section 7 and, where applicable, any separate written submission, licensing, distribution, or streaming agreement.

You should not submit confidential or proprietary information unless MOWiiU™ has expressly agreed in writing to receive such information on a confidential basis.

 

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOWiiU™, ITS AFFILIATES, LICENSORS, PARTNERS, UNIVERSITIES, CONTRACTORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

MOWiiU™ DOES NOT WARRANT THAT THE SERVICES WILL:

  • Be continuously available;

  • Operate without interruption;

  • Be error-free;

  • Be compatible with every device;

  • Be completely secure against all cybersecurity threats;

  • Be free from harmful components; or

  • Contain accurate or complete third-party information.

MOWiiU™ does not guarantee that User Content, educational content, streaming content, or other materials will remain available for any particular period.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

To the maximum extent permitted by applicable law, your sole remedy for dissatisfaction with the Services is to discontinue using the Services.

 

18. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of the State of California and, where applicable, the Federal Arbitration Act, without regard to conflict-of-law principles.

Nothing in this Section prevents the application of federal law where federal law governs a particular claim or dispute.

 

19. DISPUTE RESOLUTION & BINDING ARBITRATION

Informal Resolution Requirement

Before initiating arbitration, the complaining party shall first provide written notice describing the nature of the dispute, the facts supporting the claim, and the requested relief.

The parties shall have thirty (30) days from receipt of the notice to attempt in good faith to resolve the dispute informally.

The informal resolution requirement does not prevent either party from seeking emergency or temporary relief from a court when such relief is permitted by applicable law.

Agreement to Arbitrate

Except for matters expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your use of the Services, or the relationship between you and MOWiiU™ shall be resolved exclusively through final and binding arbitration on an individual basis.

Claims Excluded From Arbitration

The following matters are not required to be arbitrated to the extent applicable law permits them to proceed in court:

  • Claims eligible for small claims court;

  • Claims concerning the ownership, validity, infringement, or misappropriation of intellectual property rights where court proceedings are permitted by law;

  • Requests for temporary, preliminary, or emergency injunctive or equitable relief;

  • Matters that applicable law prohibits from being subject to arbitration; and

  • Any other claims that the parties cannot legally agree to arbitrate.

Nothing in this Section requires either party to waive rights that cannot lawfully be waived.

Arbitration Location

Any arbitration required under these Terms shall be conducted in person in Los Angeles County, California.

The arbitration shall be conducted before a single neutral arbitrator.

Arbitration shall not be conducted remotely, by video conference, telephone, or other electronic means unless both you and MOWiiU™ expressly agree in writing to conduct that particular arbitration remotely.

If there is no written agreement permitting remote arbitration, the arbitration shall be conducted in person in Los Angeles County, California.

Arbitration Provider and Rules

The parties shall attempt to mutually agree upon an arbitration provider and applicable arbitration rules.

If the parties cannot agree upon an arbitration provider, the provider and/or method of appointment shall be determined in accordance with applicable law.

The arbitration shall be conducted under procedures consistent with the FAA and applicable California law.

Arbitrator's Authority

Subject to applicable law, the arbitrator shall have authority to determine the arbitrability, formation, enforceability, and scope of the arbitration agreement and to resolve the merits of the arbitrated dispute.

The arbitrator may award remedies that would otherwise be available to the party under applicable law for an individual claim, subject to the limitations contained in these Terms and applicable law.

Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT TO HAVE AN ARBITRATED DISPUTE DECIDED BY A JURY.

Nothing in this provision requires a party to waive a jury-trial right for a claim that is properly required to proceed in court and for which a jury-trial right cannot lawfully be waived.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLAIMS SUBJECT TO ARBITRATION MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.

The arbitrator shall not have authority to consolidate claims or preside over any form of representative or class proceeding unless applicable law requires otherwise.

If applicable law determines that this class-action waiver is unenforceable as to a particular claim, that claim shall proceed as required by applicable law, while all remaining claims subject to arbitration shall remain subject to arbitration to the maximum extent permitted by law.

California Consumer Rights

Nothing in this Section shall be interpreted to waive, limit, or prohibit any non-waivable rights, remedies, or protections afforded to California residents or other consumers under applicable law.

Severability of Arbitration Provision

If any portion of this arbitration provision is found unlawful, void, or unenforceable, that portion shall be severed or modified to the minimum extent necessary, and the remaining provisions shall remain enforceable to the fullest extent permitted by law.

 

20. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law or severed to the minimum extent necessary.

The remaining provisions shall remain in full force and effect.

 

21. ENTIRE AGREEMENT

These Terms, together with the MOWiiU™ Privacy Policy and any applicable supplemental terms or separate written agreements, constitute the agreement between you and MOWiiU™ concerning your use of the Services, except where a separate agreement expressly governs a particular transaction, submission, license, distribution arrangement, educational program, or other relationship.

If a separate written agreement specifically governing particular content, services, transactions, or programs conflicts with these Terms, the separate written agreement shall control solely with respect to the subject matter governed by that agreement.

 

22. VENUE & JURISDICTION

For disputes that are not subject to arbitration and that may lawfully be brought in court, you agree, to the maximum extent permitted by applicable law, to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Nothing in this provision limits any non-waivable right a consumer may have under applicable law to bring a claim in another court or venue.

 

23. NON-WAIVER

MOWiiU™'s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of MOWiiU™'s right to enforce that provision in the future.

Any waiver must be made in writing by an authorized representative of MOWiiU™ to be effective.

 

24. HEADINGS; SECTION NUMBERS

The section numbers, headings, titles, and captions contained in these Terms are provided solely for convenience and ease of reference and shall not affect the meaning, interpretation, scope, or enforceability of any provision of these Terms.

25. TERMINATION

MOWiiU™ may suspend, restrict, or terminate your access to some or all of the Services when permitted by applicable law, including for violation of these Terms, misuse of the Services, security concerns, or other lawful reasons.

Where appropriate and required by applicable law, MOWiiU™ may provide notice before termination or suspension.

Upon termination, provisions that by their nature should survive termination shall remain in effect, including provisions concerning intellectual property, User Content, indemnification, limitations of liability, dispute resolution, governing law, and other provisions intended to survive termination.

Termination does not automatically terminate rights or obligations established under a separate written agreement unless that agreement provides otherwise.

 

26. PRIVACY

Your use of the Services is also governed by the MOWiiU™ Privacy Policy, which describes how MOWiiU™ collects, uses, stores, discloses, and protects personal information.

By using the Services, you acknowledge that you have reviewed the applicable Privacy Policy.

Where required by applicable law, MOWiiU™ will provide applicable privacy rights, notices, disclosures, and choices to users.
